DMM AI Router Terms of Use

Last updated: October 23, 2026

Article 1 (Application of these Terms)

1.1 DMM.com LLC ("DMM") establishes these terms of use (these "Terms") to provide the AI gateway service (the "Service") to an individual or a corporation that uses the Service (the "User"). DMM shall provide the Service to the User under these Terms, and the User shall use the Service under these Terms.

1.2 These Terms set forth the rights and obligations between the User and DMM. To use and apply for the Service, the User shall fully understand, agree to, and comply with these Terms.

1.3 Guidelines, manuals, and notices regarding the Service that DMM establishes separately as necessary (the "Guidelines") constitute a part of these Terms and apply between the User (or an Applicant) and DMM. If any provision of these Terms conflicts with any provision of the Guidelines, the provision of the Guidelines prevails.

1.4 When the User applies for the Service, DMM considers that the User has agreed to the provisions of these Terms.

Article 2 (Content of the Service)

2.1 The Service operates as a large language model aggregator. The User may use the Service to access third-party application programming interfaces ("APIs") to use various generative artificial intelligence models listed on the Service Website ("AI", and a provider or intermediary of an AI, an "AI Provider").

2.2 The Service provides the following functions:

  • (a) an API connection function and a routing function;
  • (b) a function allowing the User to set priorities and other rules for the AIs to which the User connects; and
  • (c) a management function for the usage volume and pay-as-you-go costs of the AIs.

2.3 DMM may add AIs to, or remove AIs from, the Service at any time.

Article 3 (Refusal of Service Use)

3.1 DMM may refuse to enter into a service agreement with a person who applies to use the Service (an "Applicant") if DMM determines that the Applicant falls under any of the following:

  • (a) the Applicant provides false information, incorrect information, or omits information when applying to use the Service;
  • (b) the Applicant is a minor;
  • (c) the Applicant is an adult ward, a person under curatorship, or a person under assistance, and the Applicant does not apply through a statutory agent or fails to obtain the consent of a statutory agent, curator, or assistant;
  • (d) the Applicant breached any terms of use for other services provided by DMM in the past;
  • (e) the Applicant is subject to economic sanctions under applicable laws;
  • (f) the government requires permits or notifications for DMM to provide the Service;
  • (g) DMM determines that providing the Service causes significant technical or operational difficulties;
  • (h) DMM determines that the Applicant falls under, or is likely to fall under, any item of Article 9;
  • (i) DMM determines that the Applicant is likely to fail to perform obligations, including the payment of fees; or
  • (j) DMM determines that entering into the agreement is inappropriate for any other reason.

3.2 DMM shall determine whether an Applicant falls under the preceding paragraph at its sole discretion, and DMM is not obligated to explain its decision.

Article 4 (Registration)

4.1 To apply for registration to use the Service, an Applicant shall agree to comply with these Terms and complete the procedures prescribed by DMM.

4.2 The Applicant shall perform the application procedures set forth in this paragraph. The application is complete when the procedure in item (c) is completed.

  • (a) The Applicant shall enter the information specified by DMM ("Input Information") into the application form on the Service website (the "Service Website") and provide the files specified by DMM ("Provided Files") by the method specified by DMM. The Applicant shall pledge that the Applicant does not fall under any item of Article 3.1 when applying.
  • (b) DMM will screen the Applicant based on the Input Information and the Provided Files. If the Input Information or the Provided Files are incomplete or insufficient, DMM may request the Applicant to correct them, and the Applicant shall make the requested corrections.
  • (c) If the Applicant passes the screening, DMM will notify the Applicant that the Applicant may start using the Service. DMM registers the Applicant as a User of the Service from the time of this notification.

4.3 DMM and the Applicant enter into a service agreement for the Service (the "Service Agreement") when DMM registers the Applicant under item (c) of the preceding paragraph. After entering into the Service Agreement, the User may use the Service under these Terms.

4.4 DMM may refuse registration if the Applicant falls under any item of Article 3, and DMM is not obligated to disclose the reason for the refusal.

4.5 DMM shall store the Input Information and the Provided Files (after the Service Agreement is entered into, the "Registration Information") in accordance with applicable laws and DMM's privacy policy.

4.6 If the Input Information or the Provided Files change after the Applicant passes the screening and before the Applicant makes the initial payment of the Use Fee and the Charge Fee, the Applicant shall promptly update the information by the method specified by DMM. If the Applicant fails to make the initial payment for a certain period after passing the screening, or fails to respond to DMM's communications for a certain period, DMM may invalidate the application, and the Applicant consents to this invalidation in advance.

Article 5 (Changes to Registration Information)

5.1 If the Registration Information or any other information necessary to use the Service changes, the User shall immediately update the information by the method specified by DMM.

5.2 DMM is not liable for any damage the User suffers because the User fails to update the information under the preceding paragraph. If DMM suffers damage because the User fails to update the information, the User shall compensate DMM for that damage.

Article 6 (Fees)

6.1 As consideration for the Service, the User shall pay a pay-as-you-go fee based on the usage volume of the AI connected through the Service (the "Use Fee") and a charge fee prescribed by DMM (the "Charge Fee"). DMM sets forth the details, payment timing, and payment methods for these fees on the Service Website. The User shall bear the fees and expenses required for the payment.

6.2 To use the Service, the User shall pay the Use Fee and the Charge Fee in advance using a credit card or other payment method specified by DMM. DMM applies the prepaid Use Fee (excluding the Charge Fee) to the AI usage charges based on the User's AI usage volume. The User shall not use the AI beyond the prepaid Use Fee balance (the "Prepaid Balance").

6.3 DMM manages the paid Prepaid Balance in US dollars. The paid Prepaid Balance is valid for 180 days from the time it is issued and reflected on the User's management dashboard (a page on the Service Website where the User configures and manages the Service, the "Management Dashboard"). Any paid Prepaid Balance that exceeds this validity period becomes void. DMM manages the validity period of the paid Prepaid Balance by issuance date. DMM displays the order of consumption for the paid Prepaid Balance and the free balance (such as promotional credits), as well as the conditions for using the free balance, on the Service Website or the Management Dashboard.

6.4 Even if the Service Agreement terminates before the expiration of the term, DMM will not refund the Use Fee or the Charge Fee, except as provided in Article 16.2.

6.5 DMM may revise the Charge Fee. In this case, DMM shall notify the User of the revised details and the effective date, providing a reasonable notice period before the effective date.

6.6 If an AI Provider revises the fee it charges DMM for an AI connected through the Service, DMM may automatically revise the Use Fee for the Service. DMM shall notify the User of the revised details by email, display on the Management Dashboard, publication on the Service Website, or another method DMM determines is appropriate.

6.7 If the User prepays the Use Fee and DMM revises the Use Fee before the User consumes the prepaid amount, the revised Use Fee applies to the User's AI usage on and after the effective date of the revision. The pre-revision Use Fee applies to the User's AI usage before the effective date.

Article 7 (Scope of Service and Acknowledgments)

7.1 DMM posts the details of the AI functions available to the User on the Management Dashboard or the Service Website.

7.2 DMM specifies the AIs that the User can connect to in the Service (DMM posts the types of AIs on the Management Dashboard or the Service Website). DMM provides each AI to the User through an API key connection as part of the Service, and the User may use each AI.

7.3 In addition to the functions in the preceding two paragraphs, DMM may provide a function that visualizes the usage status of an AI (the "Visualization Function") when the User registers an API key issued to the User by another AI service provider (a "BYO API Key") in the Service. The AI usage fees for the BYO API Key arise directly between the User and the relevant AI service provider. DMM will not collect fees from the User for providing the Visualization Function. The User shall manage the BYO API Key at the User's own responsibility. The User is solely responsible for unauthorized use, information leaks, and other damage caused by inadequate management, leaks to third parties, or other management failures by the User, and DMM is not liable for such damage, except in cases of DMM's intentional misconduct or gross negligence.

7.4 DMM may change the content of the Service by improving, adding, or deleting specifications of the Service, and the User consents to such changes in advance.

7.5 The preservation, learning, and other use by the AI Provider of the information the User inputs and the output information generated by the AI depend on the AI Provider's terms of use, privacy policy, and other conditions applicable to the AI provided through the Service. These conditions may vary depending on the AI type, provider, connection route, or settings. DMM displays these conditions or their reference locations on the Management Dashboard or the Service Website so the User can check them before use. The User shall check these conditions before using each AI. DMM's own handling of input and output information depends on Article 11 and other conditions established separately by DMM.

7.6 The User shall decide the content, timing, and all other aspects of the information the User transmits to the AI at the User's own discretion.

7.7 DMM does not warrant that the Service will connect to the AI using the API key exactly according to the routing rules configured on the Management Dashboard under all environments or conditions. Even if a malfunction or other event hinders the User's use of the AI, DMM is exempt from liability, except as otherwise provided in these Terms.

Article 8 (Maintenance of the Use Environment)

8.1 The User shall maintain the devices, equipment, communication lines, software updates, and security management necessary to use the Service at the User's own responsibility and expense.

8.2 DMM is not liable if the User fails to maintain the use environment set forth in the preceding paragraph and becomes unable to use the Service.

Article 9 (Prohibited Acts)

9.1 To use the Service, the User shall not perform any of the following acts:

  • (a) acting in violation of the regions and conditions of use established separately by DMM (including falsifying the User's location, the location of Service use, or the end user of the Service);
  • (b) providing false information to DMM (including the Input Information in Article 4.2 (a)) to use the Service;
  • (c) committing acts that violate laws, criminal acts, acts likely to result in such violations, or acts that induce or incite such violations;
  • (d) slandering, defaming, defrauding, or threatening DMM or any third party;
  • (e) placing an excessive load on the network or systems of the Service;
  • (f) committing acts likely to interfere with the operation of the Service;
  • (g) accessing or attempting to improperly access DMM's network or systems;
  • (h) causing disadvantage, damage, or discomfort to DMM, other users of the Service, or any third party;
  • (i) lending, transferring, or selling the account or API key to a third party beyond the scope permitted by DMM (however, the User may do so if the User's employees use them under the User's management, or if the User integrates them into the User's application for provision, in accordance with the conditions permitted by DMM and the AI Provider);
  • (j) tampering with the Service Website, decompiling, reverse engineering, or extracting source code by any other means;
  • (k) infringing the trade secrets, privacy, reputation, copyrights, or other intellectual property rights of DMM or any third party;
  • (l) violating the terms or rules established by the AI Provider for the User separately from these Terms;
  • (m) transmitting virus-contaminated data to the Service Website;
  • (n) falsely presenting the Service as the User's own product or service and using it improperly;
  • (o) committing criminal acts or acts leading to criminal acts;
  • (p) acting against public policy;
  • (q) acting in a manner related to anti-social forces;
  • (r) violating these Terms or applicable laws in any other way; or
  • (s) committing any other act that DMM determines is inappropriate.

Article 10 (Intellectual Property Rights)

10.1 Trademarks, copyrights, and other intellectual property rights related to the Service belong to DMM or the third party that granted DMM a license. The User may use the documents provided by DMM within the scope necessary to use the Service, in accordance with these Terms and separately established use conditions. The User shall obtain the consent of DMM or the third party that granted the license to DMM for any reproduction, distribution, or other use beyond this scope.

10.2 The rights regarding input data and output data in the AI depend on the terms of use of each AI Provider and applicable laws.

Article 11 (Handling of Information)

11.1 DMM shall handle User Information (Registration Information and information DMM learns about the User in the course of providing the Service) in accordance with applicable laws and DMM's privacy policy. The User consents that DMM handles the User's information in accordance with that privacy policy.

11.2 If the information the User transmits to the AI includes personal information, DMM transmits that information to the AI Provider only to the extent necessary to provide the Service, and DMM does not store it except as provided in 11.3 and 4. The AI Provider's handling of that information (including retention periods, use for learning, cross-border transfers, and security measures) depends on the AI Provider's terms of use and privacy policy. DMM posts a summary of these practices as set forth in Article 7.6. The User understands that transmitting information containing personal information to the AI may constitute providing personal information to the AI Provider, and the User shall take necessary measures under the Act on the Protection of Personal Information and other applicable laws at the User's own responsibility.

11.3 DMM acquires, stores, and uses records related to the use of the Service (such as usage date and time, types of AI used, token counts, fees, and error details) and settings configured by the User in the Service to the extent necessary for billing calculations, prevention of unauthorized use, troubleshooting, quality improvement, and legal compliance.

11.4 DMM does not store the text of the information the User transmits to the AI or the text of the AI's response. However, if the User enables a storage function provided by DMM on the Management Dashboard, or if DMM notifies the User in advance, DMM may store this information for the purposes and within the scope displayed on the Management Dashboard or the Service Website, or stated in that notification.

Article 12 (Term of the Service Agreement)

The term of the Service Agreement is one year from the date the Service Agreement is entered into. However, if the User does not complete the procedure to terminate the Service Agreement on the Management Dashboard, and DMM does not refuse to renew the Service Agreement, the Service Agreement automatically renews for the same period, and the same applies thereafter.

Article 13 (Termination of the Service Agreement)

To terminate the Service Agreement, the User shall notify DMM by the method prescribed by DMM at least one month in advance, designating the last day of the desired termination month as the termination date.

Article 14 (Suspension of the Service and Termination of the Service Agreement)

14.1 DMM may immediately suspend all or part of the Service, terminate the Service Agreement, or take other measures DMM considers appropriate, without prior notice, if DMM determines that the User falls under any of the following:

  • (a) the User breaches these Terms (including committing any prohibited act set forth in Article 9);
  • (b) the User commits acts that DMM considers unauthorized, unlawful, or illegal in connection with the use of the Service;
  • (c) the User delays payment of the Use Fee or the Charge Fee;
  • (d) the User breached terms related to any service provided by DMM or its affiliates in the past without justifiable reason, or failed to perform obligations;
  • (e) DMM determines suspension is necessary to ensure the security of the Service, such as when the User enters incorrect passwords more than a certain number of times;
  • (f) DMM receives claims or complaints about the User from a third party;
  • (g) the User receives a revocation or suspension of a business license or other administrative disposition from a supervisory authority;
  • (h) the User becomes insolvent or suspends payments, or a bill or check drawn by the User is dishonored;
  • (i) a petition is filed against the User for the commencement of bankruptcy, civil rehabilitation, corporate reorganization, or special liquidation procedures;
  • (j) a petition is filed against the User for provisional attachment, provisional disposition, compulsory execution, or auction;
  • (k) the User is subject to disposition for failure to pay taxes or public dues;
  • (l) the User is suspended from transactions by a clearinghouse;
  • (m) DMM recognizes reasonable grounds that the User's financial condition deteriorates or is likely to deteriorate;
  • (n) the User resolves to dissolve, split, transfer its business, or merge;
  • (o) DMM determines that the User's credit status deteriorates and it is difficult for the User to continue payments;
  • (p) any other material event occurs that makes it difficult to continue the agreement; or
  • (q) DMM determines it is appropriate to take measures analogous to the preceding items.

14.2 If DMM partially suspends the Service, the User may not use the suspended part of the Service. The Use Fee is not reduced.

14.3 If DMM fully suspends the Service, the User may not use the Service at all.

14.4 If DMM terminates the Service Agreement, the Service Agreement ends.

14.5 Even if the User's use of the Service is hindered and the User suffers damage because DMM suspends the Service, terminates the Service Agreement, or takes other measures DMM considers appropriate, DMM is not liable to the User for that damage.

14.6 If the User breaches the terms or rules established by the AI Provider separately from these Terms, the AI Provider may suspend all or part of the AI without prior notice, in addition to any measures DMM takes under this Article. Even if the User's use of the Service is disrupted and the User suffers damage because of the measures taken by the AI Provider, DMM is not liable to the User for that damage.

Article 15 (Interruption of the Service)

15.1 DMM may interrupt all or part of the Service without prior notice to or consent from the User in any of the following cases:

  • (a) DMM performs maintenance due to failure of the equipment necessary to provide the Service;
  • (b) DMM determines it is unavoidable for operational or technical reasons;
  • (c) DMM cannot provide the Service due to force majeure;
  • (d) an AI Provider changes or suspends its service content; or
  • (e) DMM determines that the operation of the Service is likely to be hindered or that interrupting the Service is otherwise necessary.

15.2 In addition to the preceding paragraph, DMM may temporarily interrupt the Service to perform regular inspections of equipment necessary to provide the Service, regular version upgrades of the Service, or other similar tasks, upon prior notice to the User.

15.3 DMM is not liable for any damage the User suffers due to the interruption of the Service under the preceding two paragraphs, except in cases of DMM's intentional misconduct or gross negligence.

Article 16 (Termination of the Service)

16.1 DMM may terminate the Service in any of the following cases:

  • (a) the contract with the AI Provider terminates for any reason;
  • (b) providing the Service becomes impossible due to force majeure; or
  • (c) DMM notifies the User at least one month in advance.

16.2 When DMM terminates the Service under the preceding paragraph, DMM shall refund the User's valid paid Prepaid Balance if one exists. DMM will specify the details of the refund, including the eligible parties, the amount, and the method, in the termination notice.

16.3 DMM is not liable for any damage the User suffers due to the termination of the Service.

Article 17 (Assignment of Rights and Obligations)

17.1 The User shall not assign to a third party the User's status in the Service, or all or part of the rights or obligations arising under these Terms or other related contracts, without DMM's prior written consent.

17.2 If DMM transfers the business related to the Service to another company, DMM may assign its status under these Terms and related contracts, its rights and obligations, and the User Information to the assignee. The User consents to this assignment in advance. The business transfer in this paragraph includes not only ordinary business transfers but also corporate splits and any other case where the business is transferred.

Article 18 (Disclaimer of Warranties and Limitation of Liability)

18.1 The User shall use each AI in compliance with the terms of use and other rules established by each AI Provider ("AI Terms"). The User shall check the AI Terms before applying to use the Service. DMM considers that the User agrees to the AI Terms by using each AI.

18.2 In connection with the User's use of the Service, DMM is exempt from liability for any matter for which the AI Provider is exempt from liability under the AI Terms, and DMM is not liable for such matters, except in cases of DMM's intentional misconduct or gross negligence.

18.3 DMM may require the User to comply with the AI Terms. DMM may directly require the User to perform the obligations imposed on the User under the AI Terms.

18.4 The User shall prepare the information terminals, communication environments, and other equipment compatible with the Service at the User's own responsibility. DMM is not liable for any damage the User suffers because the User is unable to use the Service due to an incompatible environment.

18.5 DMM does not warrant the continuity, completeness of communication, security protection, absence of errors, absence of viruses, or certainty of defect correction regarding the Service.

18.6 DMM is not liable for any damage the User suffers in connection with the User's use of the Service, including damage caused by DMM's interruption, suspension, termination, unavailability, or change of the Service, deletion or loss of data transmitted or received by the User, loss of registered data due to the use of the Service, or failure or damage to devices.

18.7 If the User receives a claim for damages or other legal claims from a third party in connection with the use of the Service, the User shall hold DMM harmless and shall not bring any claim related to that dispute against DMM, unless DMM is intentionally or grossly negligent.

18.8 Regardless of the cause of legal claim—whether default liability, tort liability, or otherwise—DMM's liability for damages to the User regarding the Service or these Terms is limited to the ordinary and actual damage caused directly to the User due to a reason attributable to DMM or DMM's breach of these Terms. DMM is not liable for damage caused by reasons not attributable to DMM, damage arising from special circumstances regardless of DMM's foreseeability, or lost profits.

18.9 If the contract concerning the use of the Service between DMM and the User falls under a consumer contract under the Consumer Contract Act of Japan, the provisions in these Terms that completely exempt DMM from liability for damages do not apply.

18.10 Even if DMM is liable under the preceding two paragraphs, DMM's maximum liability for damages is limited to 10,000 JPY. However, this limitation does not apply if DMM acts with intentional misconduct or gross negligence.

Article 19 (Changes to these Terms)

19.1 DMM may change these Terms based on Article 548-4 of the Civil Code if DMM determines it is necessary. DMM shall notify the User of the intent to change, the content of the revised Terms, and the effective date by posting on the Service Website, email, or other appropriate method before the effective date arrives.

19.2 If the User uses the Service after these Terms are changed under the preceding paragraph, or if the User fails to take procedures to terminate the Service within one month, DMM considers that the User agrees to the changes to these Terms.

Article 20 (Severability)

If any provision of these Terms, or any part thereof, is determined to be invalid or unenforceable, the remaining provisions of these Terms and the remaining portions of the provision determined to be partially invalid or unenforceable remain effective.

Article 21 (Governing Law and Jurisdiction)

21.1 If any matter is not provided for in these Terms or related contracts, or if any doubt arises regarding the provisions of these Terms, the User and DMM shall consult and resolve the matter amicably.

21.2 These Terms are governed by the laws of Japan. The Tokyo District Court or the Tokyo Summary Court has exclusive jurisdiction as the court of first instance over any disputes related to these Terms or the Service, depending on the amount in controversy.

21.3 The Disputes shall be brought in the User’s individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding. The User hereby agrees that for any Disputes, the User waives any right to a trial by jury, the Users waives any right to participate as a member of a class in a class action or similar proceeding.

21.4 The Japanese version of these Terms is the official text. Even if translations in English or other languages are prepared, the interpretation of the Japanese version prevails if there is any discrepancy or contradiction between the Japanese version and a translated version.

Article 22 (Survival)

Even after the Service Agreement terminates, the provisions of Article 5 (Changes to Registration Information), Article 6 (Fees), Article 7 (Scope of Service and Acknowledgments), Article 8 (Maintenance of the Use Environment), Article 9 (Prohibited Acts), Article 10 (Intellectual Property Rights), Article 11 (Handling of Information), Article 14 (Suspension of the Service and Termination of the Service Agreement), Article 15 (Interruption of the Service), Article 16 (Termination of the Service), Article 18 (Disclaimer of Warranties and Limitation of Liability), Article 21 (Governing Law and Jurisdiction), and this Article remain effective.
